01Acceptance of Terms

By visiting our website, submitting a lead form, calling one of our tracking numbers, entering into an agreement with us as a buyer or publisher, or otherwise using our services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use our website or services. If you are using our services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

02Description of Services

Caliber operates a performance-based customer acquisition business. Our services include, without limitation:

• Sourcing inbound phone calls and consumer data leads from a network of publishers and media partners.
• Qualifying, scrubbing, and routing calls and leads to buyers under agreed accept criteria and pricing terms.
• Operating call tracking numbers, ping-post integrations, and related technology used to attribute, deliver, and bill for calls and leads.
• Deploying our own capital to purchase advertising media in order to generate call and lead volume for resale.

We may modify, suspend, or discontinue any part of our services at any time, with or without notice, and we are not liable to you for any such modification, suspension, or discontinuation.

03Eligibility

Our buyer and publisher services are intended for business entities and individuals acting in a business capacity, and you must be at least 18 years old and have the legal capacity to enter into a binding contract to use our services in that capacity. Consumers who call our tracking numbers or submit a lead form must also be at least 18 years old. By using our services, you represent and warrant that you meet these eligibility requirements and that all information you provide to us is accurate and current.

04Acceptable Use and Prohibited Conduct

You agree not to, and not to permit any third party to:

• Generate, submit, or transmit calls or leads obtained without the consent required by applicable law, including the Telephone Consumer Protection Act and applicable state telemarketing and privacy statutes.
• Use bots, scripts, or other automated means to generate fraudulent, duplicate, or non-genuine calls or leads.
• Misrepresent the source, quality, or characteristics of any call or lead delivered to us or by us.
• Interfere with or disrupt the operation of our website, call tracking systems, or lead delivery infrastructure, including through unauthorized access attempts, malware, or excessive automated requests.
• Use our services in a manner that violates any applicable federal, state, or local law or regulation, or the rights of any third party.
• Reverse engineer, decompile, or attempt to derive the source code of any technology we use to provide our services.
• Use our services to collect or process personal information in a manner inconsistent with the consent obtained from the consumer or with applicable privacy law.

We reserve the right to investigate suspected violations of this section and to suspend or terminate access to our services for any party engaged in prohibited conduct, without limiting any other remedy available to us.

05Intellectual Property

Our website, including its text, graphics, logos, the Caliber name and marks, software, and the compilation and arrangement of content, is owned by or licensed to Caliber Wealth Group, LLC and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of our website or its content, nor reverse engineer or attempt to extract the source code of our software, except as permitted by applicable law or with our prior written consent. Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without restriction or compensation to you.

Our website and services may contain links to, or integrate with, websites and services operated by publishers, buyers, and other third parties that are not owned or controlled by us. 07Disclaimer of Warranties

Our website and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our website or services will be uninterrupted, secure, timely, or error-free, that any call or lead volume will meet any particular quality, conversion, or return threshold, or that any defects will be corrected. You use our website and services at your own risk.

08Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Caliber Capital Advisors, Caliber Wealth Group, LLC, or their respective officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of, or inability to use, our website or services, even if we have been advised of the possibility of such damages. You agree that any legal action or proceeding arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of those courts.

We may revise these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make changes, we will update the "Last updated" date at the top of this page. Material changes will be posted on this page. Your continued use of our website or services after a revised version of these Terms is posted constitutes your acceptance of the updated Terms.
